The lease was for thirty years, in writing and registered, and the contract expressly allowed the lessee to sublet. That is an agreement contracting out of&nbsp;<strong>CCC Section 544 paragraph one<\/strong>, so the lease right was not a purely personal right but a property right capable of transfer and sublease. The Court then added the reason most summaries miss: the defendants were the&nbsp;<em>heirs<\/em>&nbsp;of the lessee and therefore <strong>not &#8220;third parties&#8221; within Section 544 at all<\/strong>, which restricts transfer to outsiders. The lease right did not end, the registered term had not run out, and the owners could not evict. Decided in Grand Bench session 9\/2559 on CCC Sections 538 and 544 paragraph one. Existing obligations passing to an estate should be examined under the inheritance provisions; section 569 addresses transfer of ownership.<\/li>\n\n\n\n<li><strong>D\u00e9cision n\u00b0 6472\/2548<\/strong>&nbsp;decided this rather than touching on it. A 20-year shopping-centre lease charged 1,235 baht a month plus a lease-right fee of 2,790,550 baht. The Court held that a rent that low over that term showed the fee was in substance rent paid in advance, and that the contract forfeited it only for the tenant&#8217;s own default, not on death. The lessee having died, the lessor had to refund the unused part of the fee to the heir. The Court reached that under the lease provisions, not as unjust enrichment.<\/li>\n\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Case citations reviewed: 17 September 2026. Eleven decisions cited in prose above were read in Thai against the published judgments: 119\/2509, 316\/2530, 563\/2540, 876\/2537, 901\/2508, 1051\/2514, 3263\/2535, 5859\/2530, 6472\/2548, 11058\/2559 and 748\/2533. Eight stand as published. Three were corrected: the lessee in 901\/2508 was a limited partnership rather than a company, 6472\/2548 decided the refund of prepaid rent instead of merely raising it, and 748\/2533 supports compelling the further lease rather than an order to register. For 748\/2533 both of our sources carry the court&#8217;s summary attached to the text of a different judgment, so only its summary is relied on here. This review did not re-check the statutory sections, the fees, or the practice guidance elsewhere on this page.<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"when-leases-involve-more-contracts-for-consideration\"><strong>Quand les baux impliquent plus\u00a0: les contrats \u00e0 titre on\u00e9reux<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Quelques<a href=\"https:\/\/www.thailawonline.com\/fr\/lease-agreement-in-thailand\/\"> contrats de location en Tha\u00eflande<\/a> aller au-del\u00e0 du simple loyer. Si un locataire effectue un investissement important et convenu (<a href=\"https:\/\/www.thailawonline.com\/fr\/superficies-in-thailand\/\">comme la construction de b\u00e2timents qui profitent au bailleur \u00e0 long terme<\/a>), les tribunaux tha\u00eflandais peuvent le qualifier de \u201c\u00a0contrat \u00e0 titre on\u00e9reux\u00a0\u201d (\u0e2a\u0e31\u0e0d\u0e0d\u0e32\u0e15\u0e48\u0e32\u0e07\u0e15\u0e2d\u0e1a\u0e41\u0e17\u0e19\u0e1e\u0e34\u0e40\u0e28\u0e29\u0e22 \u0e34\u0e48\u0e07\u0e01\u0e27\u0e48\u0e32\u0e01\u0e32\u0e23\u0e40\u0e0a\u0e48\u0e32\u0e18\u0e23\u0e23\u0e21\u0e14\u0e32), accorder des droits au-del\u00e0 d\u2019un bail standard.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n\n<li><strong>D\u00e9cisions n\u00b0 172\/2488<\/strong>&nbsp;ET&nbsp;<strong>801\/2492:<\/strong>&nbsp;Lorsque les locataires avaient investi massivement dans la reconstruction des b\u00e2timents, le tribunal a consid\u00e9r\u00e9 les accords comme allant au-del\u00e0 des simples droits personnels, autorisant ainsi la transmission par h\u00e9ritage.&nbsp;<strong>Les d\u00e9cisions d\u00e9montrent<\/strong>&nbsp;comment un investissement substantiel du locataire peut modifier la nature du bail.<\/li>\n\n\n\n<li>Cette distinction se retrouve \u00e9galement dans les contrats de location-vente (articles 572 \u00e0 574 du CCC).&nbsp;<strong>D\u00e9cisions n\u00b0 2578-2579\/2515<\/strong>&nbsp;hold that a hire-purchase contract is not an ordinary lease: it carries a promise to sell (<span lang=\"th\">&#3588;&#3635;&#3617;&#3633;&#3656;&#3609;&#3623;&#3656;&#3634;&#3592;&#3632;&#3586;&#3634;&#3618;<\/span>) conditional on the instalments being paid, and the right to become owner on completing them is&nbsp;<em>pas<\/em>&nbsp;a personal right. The contract can therefore be succeeded to, and when the hire-purchaser died the heirs took over the rights. The lesson for drafting is that what makes the arrangement inheritable is the promise to sell, not the label on the document.<\/li>\n\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"promises-to-lease-or-renew-issues-of-enforceability\"><strong>Promesses de location ou de renouvellement : questions d&#039;applicabilit\u00e9<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Les clauses promettant des baux futurs ou des renouvellements n\u00e9cessitent un examen attentif, car&nbsp;<strong>analyses judiciaires<\/strong>&nbsp;montrer qu&#039;elles ne sont pas toujours contraignantes\u00a0:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n\n<li><strong>Decision No. 3263\/2535<\/strong>&nbsp;is the one to know. The lease said that if the lessee had not breached, the lessor&nbsp;<em>&#8220;will consider extending the term for a further period&#8221;<\/em>. The Court held that this expresses an intention that the lessor will exercise its&nbsp;<strong>discretion<\/strong>&nbsp;at the end of the term, and that even where the lessee has not breached, whether to renew remains the lessor&#8217;s discretion. The clause was therefore&nbsp;<strong>not a promise to lease<\/strong>&nbsp;(<span lang=\"th\">&#3588;&#3635;&#3617;&#3633;&#3656;&#3609;&#3592;&#3632;&#3651;&#3627;&#3657;&#3648;&#3594;&#3656;&#3634;<\/span>) at all, and the tenant was evicted despite having asked to renew.<\/li>\n\n\n\n<li>The practical rule that follows: a renewal clause that leaves the rent, the term or the decision itself to be settled later is an agreement to negotiate, not an enforceable promise. Where the promise fixes the further term and the rent, the lessor is a debtor of that obligation and cannot refuse once the lessee has given notice in time (<strong>D\u00e9cision n\u00b0 748\/2533<\/strong>, a promise of ten further years at 800 baht a month with no additional lump sum).<\/li>\n\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"the-30-year-limit-no-automatic-renewals\">The 30-year limit and lawful renewal<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/www.thailawonline.com\/fr\/thai-civil-code\/section-540\/\">section 540<\/a> permits renewal for a further term up to 30 years. In <a href=\"https:\/\/www.thailawonline.com\/fr\/supreme-court-decisions\/4655-2566-lease-term-limit\/\">4655\/2566<\/a>, same-day promises for two more 30-year terms, with advance payment covering the entire arrangement, were treated as an evasion of the statutory limit. The decision concerns the substance of the transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Compare <a href=\"https:\/\/www.thailawonline.com\/fr\/supreme-court-decisions-about-lease-in-thailand\/#dika-1925-2517\">1925\/2517<\/a> ET <a href=\"https:\/\/www.thailawonline.com\/fr\/supreme-court-decisions-about-lease-in-thailand\/#dika-4872-2539\">4872\/2539<\/a>, where acceptance supported a further short-term lease. A blanket statement that every advance renewal promise is invalid would overlook those authorities. The construction cases also support enforcement of agreed occupation rights, but do not establish an exemption allowing a prepaid 60-year or 90-year residential lease.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For the combined analysis, read <a href=\"https:\/\/www.thailawonline.com\/fr\/reciprocal-agreement-under-thai-law\/\">reciprocal agreements, construction investment and lease renewal<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"final-considerations-on-thai-lease-agreements\"><strong>Consid\u00e9rations finales sur les contrats de location tha\u00eflandais<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Draft the occupation period, construction obligations and renewal process clearly. Under <a href=\"https:\/\/www.thailawonline.com\/fr\/thai-civil-code\/section-171\/\">article 171<\/a>, true intention matters when interpreting declarations; <a href=\"https:\/\/www.thailawonline.com\/fr\/thai-civil-code\/section-538\/\">section 538<\/a> ET <a href=\"https:\/\/www.thailawonline.com\/fr\/thai-civil-code\/section-540\/\">section 540<\/a> address different questions of form and duration.
