The Department of Business Development issued Registrar Order No. 2\/2569<\/b>, in force since 1 August 2026<\/b>. Any company registration or amendment where a foreigner holds under 50%<\/b>, or where a foreign director signs with no foreign shareholding at all, now requires three months of bank statements from each Thai shareholder, statements from the receiving account, and a prescribed Investment Explanation Letter tracing where the capital came from.<\/p>\n

Read that trigger again: the order targets the minority-foreign structure most foreign investors were told keeps them safe. This is the third DBD tightening in eight months (January, April, August). On the ground, authorities hot-listed around 1,000 companies in Krabi and seized 2.1 billion baht in land from a UK national tied to a shareholding scheme.
