While the corporate structure offers advantages, such as limited liability for <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/shareholder\/\">shareholders<\/a>, it does not always shield <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/director\/\">directors<\/a> and managers from criminal responsibility. Under Thai law, companies can face criminal charges. This can happen, for example, by breaking tax laws, labor laws, customs rules, or through <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/fraud\/\">\u0e01\u0e32\u0e23\u0e09\u0e49\u0e2d\u0e42\u0e01\u0e07<\/a> or corruption. A company cannot act alone. So, liability often extends to the people who manage or control the company.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" directors class=\"wp-block-heading\" id=\"shifting-the-burden-of-proof\"><strong>\u0e01\u0e32\u0e23\u0e40\u0e1b\u0e25\u0e35\u0e48\u0e22\u0e19\u0e20\u0e32\u0e23\u0e30\u0e01\u0e32\u0e23\u0e1e\u0e34\u0e2a\u0e39\u0e08\u0e19\u0e4c<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">For many years Thai law used a \u201creversal of the burden of proof,\u201d under which a director was presumed guilty of the company\u2019s offence unless they could prove they were not involved. The Constitutional Court struck those presumptions down as unconstitutional, and the Act Amending Provisions Relating to Criminal Liability of Representatives of Juristic Persons B.E. 2560 (2017) removed them from dozens of statutes. Today the prosecution must prove that the director or manager was actually involved in the offence. A director is no longer automatically liable simply for holding the position. Some laws say that directors, managers, or company leaders can be guilty of the same crime as the company. This includes business ventures, joint investments, and property-holding structures. Many do so without realizing the personal risk involved. Actions taken by employees can also involve management. This depends on the situation, especially under the <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/thai-civil-and-commercial-code\/\">\u0e1b\u0e23\u0e30\u0e21\u0e27\u0e25\u0e01\u0e0e\u0e2b\u0e21\u0e32\u0e22\u0e41\u0e1e\u0e48\u0e07\u0e41\u0e25\u0e30\u0e1e\u0e32\u0e13\u0e34\u0e0a\u0e22\u0e4c<\/a>. Under Thai law, directors have important <a href=\"https:\/\/www.thailawonline.com\/th\/civil-liability-in-thailand\/\">\u0e2b\u0e19\u0e49\u0e32\u0e17\u0e35\u0e48\u0e15\u0e32\u0e21\u0e01\u0e0e\u0e2b\u0e21\u0e32\u0e22<\/a>.
