It is the Thai courts&#8217; main tool for refusing to enforce an agreement that is well drafted but legally unacceptable. A void act produces no legal effect and cannot be ratified (Section 172). Section 151 adds the mirror rule: parties may agree to depart from a provision of law unless that provision concerns public order or good morals, which is how a court decides whether a rule in the Code is mandatory or merely a default. Section 411 completes the picture: a person who has performed for a purpose contrary to law or good morals cannot reclaim what was paid.<\/p><\/p>\n\n\n<p class=\"wp-block-paragraph\"><p>The Code gives no list. The court asks whether the object of the act, judged by the values of Thai society, undermines the legal order or public decency. Examples include agreements to pay for sexual services, contracts to share the proceeds of a crime, and any agreement designed to let a foreigner do indirectly what the <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/land-code\/\">\u0e01\u0e0e\u0e2b\u0e21\u0e32\u0e22\u0e17\u0e35\u0e48\u0e14\u0e34\u0e19<\/a> or Foreign Business Act forbids directly.<\/p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"where-a-foreigner-runs-into-it\">\u0e17\u0e35\u0e48\u0e0b\u0e36\u0e48\u0e07\u0e0a\u0e32\u0e27\u0e15\u0e48\u0e32\u0e07\u0e0a\u0e32\u0e15\u0e34\u0e15\u0e49\u0e2d\u0e07\u0e40\u0e1c\u0e0a\u0e34\u0e0d\u0e01\u0e31\u0e1a\u0e21\u0e31\u0e19<\/h2>\n\n\n<p class=\"wp-block-paragraph\"><p><strong>\u0e01\u0e32\u0e23\u0e43\u0e0a\u0e49\u0e1a\u0e38\u0e04\u0e04\u0e25\u0e19\u0e4d\u0e32\u0e0a\u0e37\u0e48\u0e2d\u0e21\u0e32\u0e16\u0e37\u0e2d\u0e2b\u0e38\u0e49\u0e19\u0e41\u0e17\u0e19<\/strong> are the clearest case. A declaration that a Thai spouse or friend holds land for a foreigner, a <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/loan-agreement\/\">\u0e2a\u0e31\u0e0d\u0e0d\u0e32\u0e40\u0e07\u0e34\u0e19\u0e01\u0e39\u0e49<\/a> that is really the purchase price of that land, or a <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/shareholder\/\">\u0e1c\u0e39\u0e49\u0e16\u0e37\u0e2d\u0e2b\u0e38\u0e49\u0e19<\/a>&#8216; agreement giving a 49% foreign shareholder full control of the Thai shares can all be struck down as contrary to public order because they defeat Section 86 of the Land Code or the <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/foreign-business-act\/\">\u0e1e\u0e23\u0e30\u0e23\u0e32\u0e0a\u0e1a\u0e31\u0e0d\u0e0d\u0e31\u0e15\u0e34\u0e01\u0e32\u0e23\u0e1b\u0e23\u0e30\u0e01\u0e2d\u0e1a\u0e18\u0e38\u0e23\u0e01\u0e34\u0e08\u0e02\u0e2d\u0e07\u0e04\u0e19\u0e15\u0e48\u0e32\u0e07\u0e14\u0e49\u0e32\u0e27<\/a>. The foreigner then has a void contract and, because of Section 411, often no route to recover the money.<\/p><\/p>\n\n\n<p class=\"wp-block-paragraph\"><p><strong>Marriage contracts<\/strong> are the second. Section 1465 makes any clause of a <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/prenuptial\/\">\u0e2a\u0e31\u0e0d\u0e0d\u0e32\u0e01\u0e48\u0e2d\u0e19\u0e2a\u0e21\u0e23\u0e2a<\/a> void if it is contrary to public order or good morals or provides that the property of the spouses is to be governed by foreign law; it is the clause that fails, while Section 1466 voids the whole agreement if it was not recorded in the marriage register when the marriage was registered. A clause waiving a child&#8217;s right to maintenance fails for a further reason: under Section 1598\/41 that right cannot be waived. Clauses that fix child custody in advance or penalise a spouse for seeking a divorce face the same public-order test.<\/p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"void-voidable-and-simply-unenforceable\">\u0e42\u0e21\u0e06\u0e30 \u0e42\u0e21\u0e06\u0e35\u0e22\u0e30 \u0e41\u0e25\u0e30\u0e44\u0e21\u0e48\u0e2a\u0e32\u0e21\u0e32\u0e23\u0e16\u0e1a\u0e31\u0e07\u0e04\u0e31\u0e1a\u0e43\u0e0a\u0e49\u0e44\u0e14\u0e49\u0e15\u0e32\u0e21\u0e01\u0e0e\u0e2b\u0e21\u0e32\u0e22<\/h2>\n\n\n<p class=\"wp-block-paragraph\"><p>Section 150 is often confused with two neighbouring ideas. A <a href=\"https:\/\/www.thailawonline.com\/th\/glossary\/void-and-voidable\/\">voidable act<\/a> (fraud, duress, mistake, incapacity) is valid until the injured party avoids it and can be ratified; a Section 150 act was never valid. Section 172 sends the return of property handed over under a void act through the rules on unjust enrichment, but Section 411 is the exception: a person who performed in breach of a legal prohibition or of good morals cannot reclaim what was paid. A prenuptial agreement registered with the marriage under Sections 1465 and 1466 is valid, but individual clauses are void if they are contrary to public order or good morals or provide that marital property be governed by foreign law.
