I knew the crackdown mattered, but the reaction reminded me how large the consequences are. For some people, this is not an abstract debate about company law. Their home, savings and future in Thailand are tied to a structure the authorities are now examining.<\/p>\n \n              <p style=\"margin: 0 0 18px 0;\">The obvious question came back repeatedly: <strong>if a nominee company is illegal, what lawful protection does a foreigner have?<\/strong> This month I answer it directly. I also look at the next change every business owner should understand: AI has moved from answering questions to performing work. Then I introduce the <a href=\"https:\/\/www.thailawonline.com\/th\/explaining-our-membership\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">ThaiLawOnline membership<\/a> that starts now in August, including our free Lease Scanner and the Contract Maker we are building. Finally, I explain why a document presented as a Thai &#8220;land paper&#8221; might prove full ownership, a limited possessory right, a state allocation, or almost nothing at all.<\/p>\n \n              <p style=\"margin: 0 0 18px 0;\">July was also one of the most productive months in our history. I have added a separate, highly visible list of what we built: the new annotated <a href=\"https:\/\/www.thailawonline.com\/th\/thai-civil-procedure-code\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">Thai Civil Procedure Code<\/a>, the annotated <a href=\"https:\/\/www.thailawonline.com\/th\/thai-criminal-procedure-code\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">Thai Criminal Procedure Code<\/a>, hundreds of section-level pages, new Supreme Court analysis, practical guides and the Lease Scanner.<\/p>\n \n              <p style=\"margin: 0;\">These four subjects share one principle. A familiar method is not necessarily a safe method. Property structures, business systems, legal services and land documents must be understood for what they legally and practically do, not for what a salesperson calls them.<\/p>\n \n              <hr style=\"border: 0; border-top: 1px solid #eeeeee; margin: 30px 0;\">\n \n              <!-- SECTION 1 -->\n              <h2 style=\"color: #2c3e50; font-size: 22px; margin-top: 0; border-bottom: 2px solid #eeeeee; padding-bottom: 10px;\">1. After the Nominee Company: Which Property Right Fits?<\/h2>\n \n              <p><a href=\"https:\/\/www.thailawonline.com\/th\/thailand-land-ownership-restriction\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">Foreigners generally cannot own land in Thailand<\/a>. Nothing below changes that rule. These legal rights protect use, possession, a building, or an investment while the underlying land remains owned by a Thai national or another legally qualified owner.<\/p>\n \n              <p>I started working with usufructs around 2006 and published <a href=\"https:\/\/aseannow.com\/topic\/171307-everything-you-wanted-to-know-about-usufruct-agreements-in-thailand\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\" target=\"_blank\" rel=\"noopener\">one of my first detailed articles on the subject in 2008<\/a>, still online today on AseanNow. At the time, most foreign buyers were offered only a 30-year lease or a Thai company. Usufruct was in the Civil and Commercial Code, completely lawful and registered at the Land Office, but few firms serving foreigners used it seriously.<\/p>\n \n              <p>Twenty years later, we now have four mostly used tools. None is perfect. There are other ways to protect a real-estate investment, such as the right of habitation, mortgages and reciprocal agreements, but I will not enter into them here. The proper choice depends on who owns the land, whether a house already exists, who pays for construction, the client&#8217;s age, family situation, need for inheritance, and the practice of the Land Office holding the title.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">Usufruct: often the best fit for a home and a Thai spouse<\/h3>\n \n              <p>\u0e40\u0e2d <a href=\"https:\/\/www.thailawonline.com\/th\/usufruct-agreement-in-thailand\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">\u0e2a\u0e34\u0e17\u0e18\u0e34\u0e40\u0e01\u0e47\u0e1a\u0e01\u0e34\u0e19<\/a>, \u0e2b\u0e23\u0e37\u0e2d <em>sitthi kep kin<\/em>, gives the holder the registered right to possess, use and take the benefits of another person&#8217;s property. For an individual, the right may last for a fixed term of up to 30 years or for the usufructuary&#8217;s lifetime.<\/p>\n \n              <p>This often suits a foreign spouse whose Thai husband or wife genuinely owns the family land. The Thai spouse keeps ownership. The foreign spouse obtains a registered lifetime right to live there and use the property. If the owner later sells the land, a properly registered usufruct normally remains written on the title and follows the property.<\/p>\n \n              <p>The weakness is equally important: a usufruct is personal. It ends when the usufructuary dies and does not pass to the children. A usufruct also does not make the foreigner owner of the land or automatically prove ownership of the house.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">Superficies: usually stronger when the foreigner builds<\/h3>\n \n              <p>\u0e40\u0e2d <a href=\"https:\/\/www.thailawonline.com\/th\/superficies-in-thailand\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">\u0e2a\u0e34\u0e17\u0e18\u0e34\u0e02\u0e2d\u0e07\u0e1e\u0e37\u0e49\u0e19\u0e1c\u0e34\u0e27<\/a>, \u0e2b\u0e23\u0e37\u0e2d <em>sitthi nuea phuen din<\/em>, separates ownership of a building from ownership of the land underneath. The land belongs to one person. The house, factory, structure or plantation belongs to the superficiary.<\/p>\n \n              <p>This is usually the better starting point when the foreigner will finance and construct a new building. Registration should be arranged before construction begins, with the building permit, contracts, invoices and payment evidence supporting the same ownership position. Unless the registered instrument restricts it, superficies is transferable and inheritable. It may be granted for a fixed period, for the life of the landowner, or for the life of the superficiary.<\/p>\n \n              <p>The weakness is practical. Registering one sentence on a title deed does not repair poor evidence about who already owns an existing house. Some Land Offices accept a superficies over an existing structure; others want clearer evidence or prefer registration before construction. If the building is the main investment, the ownership evidence must be planned from the beginning.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">Sap Ing Sith: broader commercial control, but only for 30 years<\/h3>\n \n              <p><a href=\"https:\/\/www.thailawonline.com\/th\/sap-ing-sith-in-thailand\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">\u0e41\u0e0b\u0e1b \u0e2d\u0e34\u0e07 \u0e0b\u0e34\u0e18<\/a> is the newest option. The Sap Ing Sith Act B.E. 2562 created the right in 2019. It applies to Chanote land, buildings on Chanote land and condominium units. The holder receives broad rights to use and benefit from the property for up to 30 years. The registered right is transferable, inheritable and mortgageable.<\/p>\n \n              <p>Those features make Sap Ing Sith attractive for a commercial project or an investment intended to continue through heirs. But it is not land ownership, and it is not a 60-year or 90-year right. The legal maximum is 30 years. Unless the agreement provides otherwise, buildings added or modified by the holder belong to the property owner when the right ends. The instrument is also still unfamiliar to many officials, banks and buyers.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">A registered lease: useful, but not three guaranteed terms<\/h3>\n \n              <p>\u0e40\u0e2d <a href=\"https:\/\/www.thailawonline.com\/th\/90-year-lease-in-thailand-myth-vs-reality\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">standard residential lease<\/a> remains useful, especially between unrelated parties or with a developer. A term longer than three years must be registered to remain enforceable beyond the first three years, and the ordinary maximum is 30 years. Promises of <a href=\"https:\/\/www.thailawonline.com\/th\/90-year-lease-in-thailand-myth-vs-reality\/\" style=\"color:#0056b3; text-decoration:none;\">&#8220;30+30+30&#8221;<\/a> are not three registered terms. A future renewal requires a future owner, a future agreement and a new registration. Administrative practice is not uniform. One Land Office registers a lifetime usufruct between spouses without difficulty. Another requests a fixed term, a stated consideration or extra documents. One accepts superficies over an existing house. Another insists on registration before construction. Some officials know Sap Ing Sith well; others have barely used it. The correct procedure is to speak with the competent Land Office before signing the final contract or paying the main consideration.<\/p>\n              <\/div>\n \n              <p>A proper structure therefore requires more than downloading a bilingual agreement. We first check the title, registered encumbrances, mortgage priority, the landowner, the building status and local Land Office requirements. We then prepare both the private agreement and the documents needed for registration. If the right must protect a substantial payment or a future construction, registration should occur before or at the same time as the money moves.<\/p>\n \n              <div style=\"background-color: #f0f7ff; padding: 20px; border-left: 4px solid #0056b3; border-radius: 4px; margin: 25px 0;\">\n                <p style=\"margin: 0 0 10px 0; font-weight: bold; color: #0056b3;\">\u0e1b\u0e23\u0e30\u0e40\u0e14\u0e47\u0e19\u0e2a\u0e33\u0e04\u0e31\u0e0d<\/p>\n                <p style=\"margin: 0; color: #333333;\">There is no universal &#8220;best structure.&#8221; A usufruct often protects a foreign spouse for life. Superficies is usually stronger when the foreigner&#8217;s money creates a building. Sap Ing Sith adds transfer, inheritance and mortgage rights for up to 30 years. A lease remains useful when drafted and valued honestly. AI Has Moved From Answering Questions to Doing the Work<\/h2>\n \n              <p>For the 20 years I have managed law firms in Thailand, I always had an assistant or secretary. Someone answered routine questions, collected basic information, checked my calendar, scheduled appointments, sent reminders and followed up when a client forgot a document.<\/p>\n \n              <p>Today, an AI system performs much of the first administrative layer. It does not replace a lawyer, and it does not replace the judgment of an experienced employee. But it answers the simple questions, gathers the file information, checks availability, proposes appointments, translates routine messages, identifies missing documents and sends a matter to the correct person.<\/p>\n \n              <p>This is not a theory about the future. It is already changing our own costs.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">What changed inside our firm<\/h3>\n \n              <p>Until late 2025, we used Mailchimp for newsletters. I then built our own system with <a href=\"https:\/\/n8n.io\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\" target=\"_blank\" rel=\"noopener\">n8n<\/a>, a workflow automation platform. The first month was not perfect. Some workflows failed. Some messages were duplicated. We corrected the process, added checks and kept improving it. This newsletter is now assembled and distributed through our own automated system.<\/p>\n \n              <p>The Community edition of n8n has no software subscription. We already operate a server, so the additional software cost is close to zero. Time, hosting and model usage still have a cost, and pretending otherwise would be dishonest. But the recurring marketing-platform bill disappeared.<\/p>\n \n              <p>We did the same with the website chatbot. We were paying around US$40 each month to Chatbase. New models helped us rebuild the limited features we needed around our own legal information and workflows. We did not copy another company&#8217;s source code. We reproduced the useful function for our own business: receive a question, find the relevant internal material, give a controlled answer, collect contact information and send the matter to a human when needed.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">Kimi K2 was not a curiosity<\/h3>\n \n              <p>In January, I recommended <a href=\"https:\/\/www.thailawonline.com\/th\/newsletter-january-2026-by-thailawonline\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\">Kimi K2<\/a> as a free alternative readers should try. A few people asked why a Thai law newsletter was discussing a Chinese AI model.<\/p>\n \n              <p>On 16 July, Moonshot AI released <a href=\"https:\/\/www.moonshot.ai\/\" style=\"color:#0056b3; text-decoration:none; font-weight:bold;\" target=\"_blank\" rel=\"noopener\">Kimi K3<\/a>. Moonshot describes it as a 2.8-trillion-parameter, natively multimodal model with a one-million-token context window, designed for long-running coding and knowledge work. The model weights are available, which is more precise than calling the whole system &#8220;open source.&#8221; Downloadable weights also do not mean free operation. A model of this size requires serious computing power.<\/p>\n \n              <p>The important point is direction. Chinese open-weight models are no longer cheap imitations sitting years behind. Kimi K3 now competes close to proprietary frontier models on several demanding tasks. At the same time, OpenAI&#8217;s <a href=\"https:\/\/openai.com\/index\/gpt-5-6\/\" style=\"color:#0056b3; text-decoration:none;\" target=\"_blank\" rel=\"noopener\">GPT-5.6<\/a> family and Anthropic&#8217;s <a href=\"https:\/\/www.anthropic.com\/news\/claude-fable-5-mythos-5\" style=\"color:#0056b3; text-decoration:none;\" target=\"_blank\" rel=\"noopener\">Claude Fable 5<\/a> show how quickly top-level capability is improving while costs fall. What looked expensive and experimental six months ago might become ordinary business software six months from now.<\/p>\n \n              <h3 style=\"color: #2c3e50; font-size: 18px; margin-top: 28px;\">The shift from prompts to agents<\/h3>\n \n              <p>Two or three years ago, most people used AI like a better search box: ask a question, receive text, copy the answer. Prompting became a special skill. People wrote pages of instructions hoping to force a weak model to behave consistently.<\/p>\n \n              <p>Clear instructions still matter, but the centre of the work has changed. Strong models need less ceremony. Khn and Klek de Poitrine perform behind enormous papier-m\u00e2ch\u00e9 heads and black-and-white polka-dot costumes. One plays microtonal guitar and bass through loops. The other plays drums and percussion. The music moves through odd time signatures, repeated patterns, sudden changes and rhythms that should feel mathematical but somehow make crowds dance.<\/p>\n \n              <p>Their full KEXP performance, recorded in Rennes in December 2025, has now been watched around 18 million times. Their second album, <em>Vol. II<\/em>, was released on 3 April 2026. They are now performing internationally, yet the project still feels homemade, strange and completely independent of what the music business normally tells artists to become.<\/p>\n \n              <p>Perhaps this is one reason they connect so strongly right now. We are surrounded by discussions about machines producing more text, images, music and video. Angine de Poitrine feels like the opposite: two humans making difficult, playful and unmistakably personal art with handmade masks, unusual instruments and an idea nobody asked them to simplify.<\/p>\n \n              <p>AI might imitate a style after people create it. It does not reduce the value of the human decision to be strange before anyone knows whether the strangeness will work. For me, art is where the beauty of human beings remains easiest to see.
