SUMMARY
On 17 February 2015 (B.E. 2558) the defendant borrowed 350,000 baht from Mrs P., a director of the plaintiff company, and mortgaged her land as security. The arrears of principal and interest were later rolled up into a principal of 477,000 baht, and on 1 February 2019 the defendant discharged the mortgage to Mrs P. and mortgaged the same plot to the plaintiff company, the mortgage deed itself serving as the written evidence of a loan of 727,000 baht. The plaintiff sued for 927,173 baht with interest at 15 per cent. The trial court gave judgment for 477,000 baht with interest from 2 August 2019 and ordered the land sold if it was not paid, dismissing the further 250,000 baht the plaintiff said had been lent on the day of the mortgage; the plaintiff did not appeal that part, so it became final. The Court of Appeal Region 3, Consumer Case Division, reversed and dismissed the whole claim. The Supreme Court reversed in turn and restored the trial court's judgment. It accepted that replacing the creditor in this way is a novation by change of creditor, which Section 349 paragraph three makes subject to the Code's provisions on assignment of claims, so the Court of Appeal's starting point was not wrong in principle. The defendant, however, had pleaded only that she had not borrowed from the plaintiff and that no written notice or consent had passed between Mrs P. and the plaintiff; she never pleaded that the transfer itself was not in writing and so was incomplete, so no issue on Section 306 paragraph one with Section 349 paragraph three was before the court at all. On the facts the defendant had signed the mortgage as mortgagor and had also signed in the mortgagee's column as the plaintiff's attorney, which showed that she contracted with the plaintiff directly and agreed to the change of creditor, so the making of the mortgage was not an assignment needing a separate writing, notice or consent. She had ignored a demand and foreclosure notice dated 10 February 2021 giving her 60 days, received on 16 February 2021, so she was in default and liable for principal and interest under Sections 653 paragraph one and 654.

LEGAL ANALYSIS
It is tempting to read this case as deciding that a refinancing is a novation and therefore escapes the Section 306 formalities. It decides the opposite in principle: novation by change of creditor is expressly made subject to the assignment provisions by Section 349 paragraph three, so those formalities are in play whenever a creditor is substituted. What defeated the defendant was not the character of the transaction but the state of her pleadings and her own signature. She pleaded that she had not borrowed from the plaintiff and that no written notice or consent had passed between the old creditor and the plaintiff. She never pleaded that the transfer of the debt was itself unwritten and therefore incomplete, and a Thai court decides the issues the pleadings raise, so there was no issue under Section 306 paragraph one with Section 349 paragraph three for the Court of Appeal to decide in her favour. The Court then found that she had signed the new mortgage twice, once as mortgagor and once in the mortgagee's column as the plaintiff's attorney, which put her in direct contract with the new creditor and showed her consent to the substitution. For a lender, the lesson is to have the debtor sign the new instrument rather than rely on a transfer between creditors; for a borrower, it is that the objection has to be pleaded, and pleaded as an absence of writing, not merely as an absence of notice.
