A Thai national or juristic person who holds shares or property in name only, on behalf of a foreigner who supplies the capital. Under Section 36 of the Foreign Business Act B.E. 2542 (1999), acting as a nominee to circumvent foreign ownership restrictions is a criminal offence punishable by up to three years’ imprisonment and a fine up to 1,000,000 THB, plus daily fines. The Department of Business Development actively investigates suspected nominee structures.
