ให้รัฐมนตรีว่าการกระทรวงพาณิชย์รักษาการตามพระราชบัญญัตินี้ หมายเหตุ :- เหตุผลในการประกาศใช้พระราชบัญญัติฉบับนี้ คือ โดยที่เป็นการสมควรแก้ไขบทบัญญัติของประมวลกฎหมายแพ่งและพาณิชย์ในเรื่องการค้ำประกันและจำนองเพื่อให้มีความเหมาะสมแก่การประกอบธุรกิจในปัจจุบัน สมควรกำหนดให้ผู้ค้ำประกันที่เป็นนิติบุคคลสามารถผูกพันตนเพื่อรับผิดอย่างลูกหนี้ร่วมได้ รวมทั้งสามารถทำข้อตกลงล่วงหน้ายินยอมให้มีการผ่อนเวลาได้ หากเป็นสถาบันการเงินหรือประกอบอาชีพค้ำประกันเพื่อสินจ้างเป็นปกติธุระ จึงจำเป็นต้องตราพระราชบัญญัตินี้พระราชบัญญัติแก้ไขเพิ่มเติมประมวลกฎหมายแพ่งและพาณิชย์ (ฉบับที่ ๒๒) พ.ศ. ๒๕๕๘[321]
