เมื่อได้พิมพ์โฆษณาดังนั้นแล้ว ท่านให้ถือว่าบรรดาเอกสารและข้อความซึ่งลงทะเบียนอันได้กล่าวถึงในย่อรายการนั้น เป็นอันรู้แก่บุคคลทั้งปวงไม่เลือกว่าเป็นผู้เกี่ยวข้องด้วยห้างหุ้นส่วนหรือด้วยบริษัทนั้น หรือที่ไม่เกี่ยวข้องมาตรา ๑๐๒๓[46] ผู้เป็นหุ้นส่วนก็ดี ห้างหุ้นส่วนก็ดี หรือบริษัทก็ดี จะถือเอาประโยชน์แก่บุคคลภายนอกเพราะเหตุที่มีสัญญาหรือเอกสาร หรือข้อความอันบังคับให้จดทะเบียนตามลักษณะนี้ยังไม่ได้ จนกว่าจะได้จดทะเบียนแล้ว แต่ฝ่ายบุคคลภายนอกจะถือเอาประโยชน์เช่นว่านั้นได้ แต่ถึงกระนั้นก็ดี ผู้เป็นหุ้นส่วน ผู้ถือหุ้น ห้างหุ้นส่วน หรือบริษัทซึ่งได้รับชำระหนี้ก่อนจดทะเบียนนั้นย่อมไม่จำต้องคืน มาตรา ๑๐๒๓/๑[47] ห้างหุ้นส่วนหรือบริษัทจะยก
