บุคคลใดแสดงตนว่าเป็นหุ้นส่วนด้วยวาจาก็ดี ด้วยลายลักษณ์อักษรก็ดี ด้วยกิริยาก็ดี ด้วยยินยอมให้เขาใช้ชื่อตนเป็นชื่อห้างหุ้นส่วนก็ดี หรือรู้แล้วไม่คัดค้านปล่อยให้เขาแสดงว่าตนเป็นหุ้นส่วนก็ดี ท่านว่าบุคคลนั้นย่อมต้องรับผิดต่อบุคคลภายนอกในบรรดาหนี้ของห้างหุ้นส่วนเสมือนเป็นหุ้นส่วนถ้าผู้เป็นหุ้นส่วนคนหนึ่งคนใดตายไปแล้ว และห้างหุ้นส่วนนั้นยังคงค้าต่อไปในชื่อเดิมของห้าง ท่านว่าเหตุเพียงที่คงใช้ชื่อเดิมนั้นก็ดี หรือใช้ชื่อของหุ้นส่วนผู้ตายควบอยู่ด้วยก็ดี หาทำให้ความรับผิดมีแก่กองทรัพย์มรดกของผู้ตายเพื่อหนี้ใด ๆ อันห้างหุ้นส่วนได้ก่อให้เกิดขึ้นภายหลังมรณะนั้นไม่ส่วนที่ ๔การเลิกและชำระบัญชีห้างหุ้นส่วนสามัญ

English translation

A person who by words spoken or written, or by conduct, or by consenting to the use of his name in the firm name of the partnership, represents himself, or who knowingly suffers himself to be represented as a member of a partnership becomes liable to third persons as a partner for all the obligations of the partnership. If after the death of a partner the partnership business is continued in the old firm name, the continued use of that name or of the deceased partner, as part thereof, does not in itself make his estate liable for any obligations incurred by the partnership after his death.
