Quiconque, par ses paroles ou ses écrits, par son comportement ou en consentant à l'utilisation de son nom dans la raison sociale de la société, se présente ou se laisse sciemment présenter comme membre d'une société, devient responsable envers les tiers, en qualité d'associé, de toutes les obligations de la société. Si, après le décès d'un associé, l'activité de la société se poursuit sous son ancienne raison sociale, le maintien de cette raison sociale ou du nom de l'associé décédé, en tant que partie intégrante de celle-ci, n'engage pas, de ce seul fait, la responsabilité de sa succession pour les obligations contractées par la société après son décès.
