ในอันที่จะประกอบกิจการของบริษัทนั้น กรรมการต้องใช้ความเอื้อเฟื้อสอดส่องอย่างบุคคลค้าขายผู้ประกอบด้วยความระมัดระวังว่าโดยเฉพาะ กรรมการต้องรับผิดชอบร่วมกันในประการต่าง ๆ ดังจะกล่าวต่อไปนี้ คือ(๑) การใช้เงินค่าหุ้นนั้น ได้ใช้กันจริง(๒) จัดให้มีและรักษาไว้ให้เรียบร้อย ซึ่งบรรดาสมุดบัญชีและเอกสารที่กฎหมายกำหนดไว้(๓) การแจกเงินปันผลหรือดอกเบี้ยให้เป็นไปโดยถูกต้องตามที่กฎหมายกำหนดไว้(๔) บังคับการให้เป็นไปโดยถูกต้องตามมติของที่ประชุมใหญ่อนึ่ง ท่านห้ามมิให้ผู้เป็นกรรมการประกอบการค้าขายใด ๆ อันมีสภาพเป็นอย่างเดียวกัน และเป็นการแข่งขันกับการค้าขายของบริษัทนั้น ไม่ว่าทำเพื่อประโยชน์ตนหรือเพื่อประโยชน์ผู้อื่น หรือไปเข้าหุ้นส่วนไม่จำกัดความรับผิดในห้างค้าขายอื่นซึ่งประกอบกิจการมีสภาพเป็นอย่างเดียวกันและแข่งขันกับกิจการของบริษัท โดยมิได้รับความยินยอมของที่ประชุมใหญ่ของผู้ถือหุ้นบทบัญญัติที่กล่าวมาข้างบนนี้ให้ใช้บังคับตลอดถึงบุคคลซึ่งเป็นผู้แทนของกรรมการด้วย

English translation
The directors must in their conduct of the business apply the diligence of a careful business man. In particular they are jointly responsible: (1) For the payment of shares by the shareholders being actually made; feedback (/form/1-samuiforsale-contact-form.html?tmpl=component) / (2) For the existence and regular keeping of the books and documents prescribed by law; (3) For the proper distribution of the dividend or interest as prescribed by law; (4) For the proper enforcement of resolutions of the general meetings. A director must not without the consent of the general meeting of shareholders, undertake commercial transactions of the same nature as and competing with that of the company, either on his own account or that of a third person, nor may he be a partner with unlimited liability in another concern carrying on business of the same nature as and competing with that of the company.
