ถ้าสาระสำคัญแห่งสัญญาอยู่ที่ความรู้ความสามารถของตัวผู้รับจ้างและผู้รับจ้างตายก็ดี หรือตกเป็นผู้ไม่สามารถทำการที่รับจ้างนั้นต่อไปได้ด้วยมิใช่เพราะความผิดของตนก็ดี ท่านว่าสัญญานั้นย่อมเป็นอันสิ้นลงถ้าและการส่วนที่ได้ทำขึ้นแล้วนั้นเป็นประโยชน์แก่ผู้ว่าจ้างไซร้ ท่านว่าผู้ว่าจ้างจำต้องรับเอาไว้และใช้สินจ้างตามสมควรแก่ส่วนนั้น ๆ

English translation
If the personal qualification of the contractor is of the essence of the contract and the contractor dies, or without his fault becomes incapable to carry on the work the contract comes to an end. If any part of the work already done is useful to the employer, he is bound to accept it and pay a reasonable remuneration.
