Firm annotation
Section 4 quinque is a special venue rule that centralizes petitions about a juristic person in the court where its head office sits. It covers a broad set of corporate and association matters, listing revocation of meeting resolutions, dissolution, and the appointment or removal of a liquidator, and then extending to any other petition concerning a juristic person. By fixing venue at the head office, the section makes the forum predictable and keeps related corporate disputes in one place. It sits alongside the substantive company and association rules in the Civil and Commercial Code that govern meetings, dissolution, and liquidation.
Why this matters in practice
Shareholders, members, and directors who want to challenge a resolution or force a liquidation should file at the entity's registered head office, and confirming that address before filing avoids a jurisdictional dismissal. Because these disputes often move quickly, for example when a resolution is being acted on, filing in the correct court without delay matters. Complex corporate disputes usually benefit from early advice. See our guide on going to court in Thailand.
