ห้างหุ้นส่วนหรือบริษัทจะยกมาตรา ๑๐๒๓ ขึ้นต่อสู้บุคคลภายนอกผู้สุจริตเพื่อไม่ให้ต้องรับผิดโดยอ้างว่าผู้เป็นหุ้นส่วน ห้างหุ้นส่วน บริษัทหรือกรรมการไม่มีอำนาจกระทำการมิได้

English translation
A partnership or company may not set up Section 1023 against a third person acting in good faith in order to escape liability, by alleging that a partner, the partnership, the company or a director had no authority to act.
