ถ้าได้ตกลงกันไว้ว่าการงานของห้างหุ้นส่วนนั้นจักให้เป็นไปตามเสียงข้างมากแห่งผู้เป็นหุ้นส่วนไซร้ ท่านให้ผู้เป็นหุ้นส่วนคนหนึ่งมีเสียงเป็นคะแนนหนึ่ง โดยไม่ต้องคำนึงถึงจำนวนที่ลงหุ้นด้วยมากหรือน้อย

If it is agreed that matters relating to the business of the partnership shall be decided by a majority of partners, each partner shall have one vote, irrespective the amount of his contribution.
