อันบริษัทจำกัดย่อมเลิกกันด้วยเหตุดังจะกล่าวต่อไปนี้ คือ(๑) ถ้าในข้อบังคับของบริษัทมีกำหนดกรณีอันใดเป็นเหตุที่จะเลิกกันเมื่อมีกรณีนั้น(๒) ถ้าบริษัทได้ตั้งขึ้นไว้เฉพาะกำหนดกาลใด เมื่อสิ้นกำหนดกาลนั้น(๓) ถ้าบริษัทได้ตั้งขึ้นเฉพาะเพื่อทำกิจการอย่างหนึ่งอย่างใดแต่อย่างเดียว เมื่อเสร็จการนั้น(๔) เมื่อมีมติพิเศษให้เลิก(๕) เมื่อบริษัทล้มละลาย

A limited company is dissolved: (1) In the case, if any, provided by its regulations. (2) If formed for a period of time, by the expiration of such period. (3) If formed for a single undertaking, by the termination of such undertaking. (4) By a special resolution to dissolve. (5) By the company becoming bankrupt
