อันบริษัทจำกัดย่อมเลิกกันด้วยเหตุดังจะกล่าวต่อไปนี้ คือ(๑) ถ้าในข้อบังคับของบริษัทมีกำหนดกรณีอันใดเป็นเหตุที่จะเลิกกันเมื่อมีกรณีนั้น(๒) ถ้าบริษัทได้ตั้งขึ้นไว้เฉพาะกำหนดกาลใด เมื่อสิ้นกำหนดกาลนั้น(๓) ถ้าบริษัทได้ตั้งขึ้นเฉพาะเพื่อทำกิจการอย่างหนึ่งอย่างใดแต่อย่างเดียว เมื่อเสร็จการนั้น(๔) เมื่อมีมติพิเศษให้เลิก(๕) เมื่อบริษัทล้มละลาย
