การโอนหนี้อันพึงต้องชำระตามเขาสั่งนั้น ท่านว่าจะยกขึ้นเป็นข้อต่อสู้ลูกหนี้หรือบุคคลภายนอกคนอื่นได้ แต่เฉพาะเมื่อการโอนนั้นได้สลักหลังไว้ในตราสาร และตัวตราสารนั้นได้ส่งมอบให้แก่ผู้รับโอนไปด้วย
