ในมูลหนี้อันพึงต้องชำระตามเขาสั่งนั้น ลูกหนี้จะยกข้อต่อสู้ซึ่งมีต่อเจ้าหนี้เดิมขึ้นเป็นข้อต่อสู้ผู้รับโอนโดยสุจริตนั้นหาได้ไม่ เว้นแต่ที่ปรากฏในตัวตราสารนั้นเอง หรือที่มีขึ้นเป็นธรรมดาสืบจากลักษณะแห่งตราสารนั้น

English translation
The debtor of an obligation performable to order cannot set up against any transferee in good faith defences which he might have set up against the original creditor, except such as appear on the face of the instrument or result naturally from its character.
