ถ้าผู้เป็นหุ้นส่วนอันมิได้เป็นผู้จัดการเอื้อมเข้ามาจัดการงานของห้างหุ้นส่วนก็ดี หรือผู้เป็นหุ้นส่วนซึ่งเป็นผู้จัดการกระทำล่วงขอบอำนาจของตนก็ดี ท่านให้บังคับด้วยบทบัญญัติแห่งประมวลกฎหมายนี้ ว่าด้วยจัดการงานนอกสั่ง

English translation
If a non-managing partner manages the business of the partnership or a managing partner acts beyond the scope of his authority, the provisions of this Code concerning Management of Affairs without Mandate shall apply.
