การใด ๆ อันผู้เป็นหุ้นส่วนคนใดคนหนึ่งได้จัดทำไปในทางที่เป็นธรรมดาการค้าขายของห้างหุ้นส่วนนั้น ท่านว่าผู้เป็นหุ้นส่วนหมดทุกคนย่อมมีความผูกพันในการนั้น ๆ ด้วย และจะต้องรับผิดร่วมกันโดยไม่จำกัดจำนวนในการชำระหนี้ อันได้ก่อให้เกิดขึ้นเพราะจัดการไปเช่นนั้น
