อันห้างหุ้นส่วนสามัญนั้น จะจดทะเบียนก็ได้การลงทะเบียนนั้น ท่านบังคับให้มีรายการดังนี้ คือ(๑) ชื่อห้างหุ้นส่วน(๒) วัตถุที่ประสงค์ของห้างหุ้นส่วน(๓) ที่ตั้งสำนักงานแห่งใหญ่และสาขาทั้งปวง(๔) ชื่อและที่สำนักกับทั้งอาชีวะของผู้เป็นหุ้นส่วนทุก ๆ คน ถ้าผู้เป็นหุ้นส่วนคนใดมีชื่อยี่ห้อ ก็ให้ลงทะเบียนทั้งชื่อและยี่ห้อด้วย(๕) ชื่อหุ้นส่วนผู้จัดการ ในเมื่อได้ตั้งแต่งให้เป็นผู้จัดการแต่เพียงบางคน(๖) ถ้ามีข้อจำกัดอำนาจของหุ้นส่วนผู้จัดการประการใดให้ลงไว้ด้วย(๗) ตราซึ่งใช้เป็นสำคัญของห้างหุ้นส่วนข้อความซึ่งลงทะเบียนนั้น จะลงรายการอื่น ๆ อีกอันคู่สัญญาเห็นสมควรจะให้ประชาชนทราบด้วยก็ได้การลงทะเบียนนั้น ต้องลงลายมือชื่อของผู้เป็นหุ้นส่วนทุกคน และต้องประทับตราของห้างหุ้นส่วนนั้นด้วยให้พนักงานทะเบียนทำใบสำคัญแสดงการจดทะเบียนส่งมอบให้แก่ห้างหุ้นส่วนนั้นฉบับหนึ่ง มาตรา ๑๐๖๔/๑[48] หุ้นส่วนผู้จัดการคนใดในห้างหุ้นส่วนจดทะเบียนจะลาออกจากตำแหน่ง ให้ยื่นใบลาออกต่อหุ้นส่วนผู้จัดการอื่นคนหนึ่งคนใด การลาออกมีผลนับแต่วันที่ใบลาออกไปถึงหุ้นส่วนผู้จัดการอื่นนั้น ในกรณีที่ห้างหุ้นส่วนจดทะเบียนมีหุ้นส่วนผู้จัดการคนเดียว ให้หุ้นส่วนผู้จัดการที่จะลาออกจากตำแหน่งแจ้งเป็นหนังสือให้ผู้เป็นหุ้นส่วนคนหนึ่งคนใดทราบเพื่อนัดประชุมและพิจารณาตั้งผู้จัดการคนใหม่ พร้อมกับแนบใบลาออกไปด้วย การลาออกมีผลนับแต่วันที่ใบลาออกไปถึงหุ้นส่วนผู้นั้น หุ้นส่วนผู้จัดการซึ่งลาออกตามวรรคหนึ่งหรือวรรคสอง จะแจ้งการลาออกของตนให้นายทะเบียนทราบด้วยก็ได้ มาตรา ๑๐๖๔/๒[49] เมื่อมีการเปลี่ยนแปลงหุ้นส่วนผู้จัดการ ให้ห้างหุ้นส่วนจดทะเบียนนำความไปจดทะเบียนภายในสิบสี่วันนับแต่วันที่มีการเปลี่ยนแปลง

English translation
An ordinary partnership may be registered. The entry in the register must contain the following particulars: (1) The firm name of the partnership . (2) Its object. (3) The address of the principal business office and of all branch offices. (4) The full names, addresses and occupations of every partner: if a partner has a trade name the entry in the register must contain his name and his trade name. (5) The names of the managing partners, in case fewer than all of the partners have been appointed as such. (6) The restrictions, if any, imposed upon the powers of the managing partners. (7) The seal or seals which are binding on the partnership. The entry may contain any other particulars which the parties may deem expedient to make known to the public.
