ข้อซึ่งตกลงกันในระหว่างผู้เป็นหุ้นส่วนทั้งหลายเพื่อจะเปลี่ยนแปลงประเภททรัพย์สินที่ลงหุ้น หรือเพื่อจะลดจำนวนลงหุ้นแห่งผู้เป็นหุ้นส่วนจำพวกจำกัดความรับผิดคนหนึ่งคนใดนั้น ท่านว่ายังไม่เป็นผลแก่บุคคลภายนอกจนกว่าจะได้จดทะเบียนเมื่อได้จดทะเบียนแล้วไซร้ ข้อตกลงนั้น ๆ ก็ย่อมมีผลแต่เพียงเฉพาะแก่หนี้อันห้างหุ้นส่วนได้ก่อให้เกิดขึ้นภายหลังเวลาที่ได้จดทะเบียนแล้วเท่านั้น

English translation
Agreements entered into between the partners for altering the nature or reducing the amount of the contribution of a partner with limited liability have no effect as regards to third persons until registered. When registered, they have effect only as to obligations incurred by the partnership after their registration.
