ถ้าผู้เป็นหุ้นส่วนจำพวกจำกัดความรับผิดผู้ใดตาย ท่านว่าทายาทของผู้นั้นย่อมเข้าเป็นหุ้นส่วนแทนที่ผู้ตาย เว้นแต่จะได้มีข้อสัญญากันไว้เป็นอย่างอื่น
