ถ้าลูกหนี้ได้สัญญาไว้ว่าจะให้เบี้ยปรับเมื่อตนไม่ชำระหนี้ให้ถูกต้องสมควร เช่นว่าไม่ชำระหนี้ตรงตามเวลาที่กำหนดไว้เป็นต้น นอกจากเรียกให้ชำระหนี้ เจ้าหนี้จะเรียกเอาเบี้ยปรับอันจะพึงริบนั้นอีกด้วยก็ได้ ถ้าเจ้าหนี้มีสิทธิเรียกร้องค่าสินไหมทดแทนในมูลชำระหนี้ไม่ถูกต้องสมควร ท่านให้บังคับตามบทบัญญัติแห่งมาตรา ๓๘๐ วรรค ๒ ถ้าเจ้าหนี้ยอมรับชำระหนี้แล้ว จะเรียกเอาเบี้ยปรับได้ต่อเมื่อได้บอกสงวนสิทธิไว้เช่นนั้นในเวลารับชำระหนี้

English translation
If the debtor has promised the penalty for the case of his not performing the obligation in the proper manner, such as, not at the fixed time, the creditor may demand the forfeited penalty in addition to the performance. If the creditor has a claim for compensation on account of improper performance, the Section 380 paragraph 2 apply. If the creditor accepts the performance he may demand the penalty only if on acceptance he reserves the right to do so.
