นายจ้างจะโอนสิทธิของตนให้แก่บุคคลภายนอกก็ได้เมื่อลูกจ้างยินยอมพร้อมใจด้วยลูกจ้างจะให้บุคคลภายนอกทำงานแทนตนก็ได้เมื่อนายจ้างยินยอมพร้อมใจด้วยถ้าคู่สัญญาฝ่ายใดทำการฝ่าฝืนบทบัญญัตินี้ คู่สัญญาอีกฝ่ายหนึ่งจะบอกเลิกสัญญาเสียก็ได้
