ถ้าผู้เป็นหุ้นส่วนคนใดคนหนึ่งโอนส่วนกำไรของตนในห้างหุ้นส่วนทั้งหมดก็ดี หรือแต่บางส่วนก็ดีให้แก่บุคคลภายนอกโดยมิได้รับความยินยอมของผู้เป็นหุ้นส่วนทั้งหลายอื่นไซร้ ท่านว่าบุคคลภายนอกนั้นจะกลายเป็นเข้าหุ้นส่วนด้วยก็หามิได้

English translation
If a partner, without the consent of the other partners, transfers to a third person the whole or part of his share in the profits of the partnership, such third person does not become partner.
