ถ้าผู้เป็นหุ้นส่วนคนใดคนหนึ่งโอนส่วนกำไรของตนในห้างหุ้นส่วนทั้งหมดก็ดี หรือแต่บางส่วนก็ดีให้แก่บุคคลภายนอกโดยมิได้รับความยินยอมของผู้เป็นหุ้นส่วนทั้งหลายอื่นไซร้ ท่านว่าบุคคลภายนอกนั้นจะกลายเป็นเข้าหุ้นส่วนด้วยก็หามิได้
