กรรมการจะเรียกประชุมวิสามัญเมื่อใดก็ได้สุดแต่จะเห็นสมควรถ้าบริษัทขาดทุนลงถึงกึ่งจำนวนต้นทุน กรรมการต้องเรียกประชุมวิสามัญทันทีเพื่อแจ้งให้ผู้ถือหุ้นทราบการที่ขาดทุนนั้น

English translation
The directors may summon extraordinary meeting whenever they think fit. They must without delay summon such meeting when the company has lost half the amount of its capital, in order to inform the shareholders of such loss.
