ใบหุ้นออกให้แก่ผู้ถือนั้น จะออกได้ก็แต่เมื่อมีข้อบังคับของบริษัทอนุญาตไว้ และจะออกให้ได้แต่เฉพาะเพื่อหุ้นซึ่งได้ใช้เต็มค่าแล้ว ในกรณีเช่นว่านี้ ผู้ทรงใบหุ้นชนิดระบุชื่อย่อมมีสิทธิจะได้รับใบหุ้นชนิดออกให้แก่ผู้ถือ เมื่อเวนคืนใบหุ้นชนิดระบุชื่อนั้นให้ขีดฆ่าเสีย

Certificates to bearer may be issued only if authorized by the regulations of the company and for shares which are fully paid up.
