กรรมการจะวางกำหนดไว้ก็ได้ว่า จำนวนกรรมการเข้าประชุมกี่คนจึงจะเป็นองค์ประชุมทำกิจการได้ ถ้าและมิได้กำหนดไว้ดังนั้นไซร้ (เมื่อจำนวนกรรมการเกินกว่าสามคน) ท่านว่าต้องมีกรรมการเข้าประชุมสามคนจึงจะเป็นองค์ประชุมได้

English translation
The directors may fix the quorum necessary for the transaction of business at their meetings and unless so fixed the quorum shall (when the number of directors exceeds three) be three.
