ในจำนวนกรรมการนั้น แม้ตำแหน่งจะว่างไปบ้าง กรรมการที่มีตัวอยู่ก็ย่อมทำกิจการได้ แต่ถ้าในเวลาใดจำนวนกรรมการลดน้อยลงกว่าจำนวนอันจำเป็นที่จะเป็นองค์ประชุมได้ตลอดเวลาเช่นนั้น กรรมการที่มีตัวอยู่ย่อมทำกิจการได้เฉพาะแต่ในเรื่องที่จะเพิ่มกรรมการขึ้นให้ครบจำนวนหรือนัดเรียกประชุมใหญ่ของบริษัทเท่านั้น จะกระทำกิจการอย่างอื่นไม่ได้

English translation
The subsisting directors may act notwithstanding any vacancy among them but, if and so long as their number is reduced below the number necessary to form a quorum, the subsisting directors may act for the purpose of increasing the number of directors to that number, or of summoning a general meeting of the company but for no other purpose.
