ในการลงคะแนนโดยวิธีชูมือนั้น ท่านให้นับว่าผู้ถือหุ้นทุกคนที่มาประชุมเองหรือมอบฉันทะให้ผู้อื่นมาประชุมแทนมีเสียงหนึ่งเป็นคะแนน แต่ในการลงคะแนนลับ ท่านให้นับว่าผู้ถือหุ้นทุกคนมีคะแนนเสียง เสียงหนึ่งต่อหุ้นหนึ่งที่ตนถือ

On a show of hands every shareholder present in person or represented by proxy shall have one vote. On a poll every shareholder shall have one vote for each share of which he is the holder.
