ทุกคราวที่แจกเงินปันผล บริษัทต้องจัดสรรเงินไว้เป็นทุนสำรองอย่างน้อยหนึ่งในยี่สิบส่วนของจำนวนผลกำไรซึ่งบริษัททำมาหาได้จากกิจการของบริษัท จนกว่าทุนสำรองนั้นจะมีจำนวนถึงหนึ่งในสิบของจำนวนทุนของบริษัทหรือมากกว่านั้น แล้วแต่จะได้ตกลงกำหนดไว้ในข้อบังคับของบริษัทถ้าได้ออกหุ้นโดยคิดเอาราคาเกินกว่าที่ปรากฏในใบหุ้นเท่าใด จำนวนที่คิดเกินนี้ท่านให้บวกทบเข้าในทุนสำรองจนกว่าทุนสำรองจะมีจำนวนเท่าถึงที่กำหนดไว้ในวรรคก่อน

English translation

The company must appropriate to a reserve fund, at each distribution of dividend, at least one-twentieth of the profits arising from the business of the company, until the reserve fund reaches one-tenth part of the capital of the company or such higher proportion thereof as may be stipulated in the regulations of the company. If shares have been issued at a value higher than the face value, the excess must be added to the reserve fund until the latter has reached the amount mentioned in the foregoing paragraph.
