ห้ามมิให้ประกาศอนุญาตเงินปันผล นอกจากโดยมติของที่ประชุมใหญ่กรรมการอาจจ่ายเงินปันผลระวางกาลให้แก่ผู้ถือหุ้นได้เป็นครั้งเป็นคราว ในเมื่อปรากฏแก่กรรมการว่าบริษัทมีกำไรสมควรพอที่จะทำเช่นนั้นห้ามมิให้จ่ายเงินปันผลจากเงินประเภทอื่นนอกจากเงินกำไร ถ้าหากบริษัทขาดทุน ห้ามมิให้จ่ายเงินปันผลจนกว่าจะได้แก้ไขให้หายขาดทุนเช่นนั้นการจ่ายเงินปันผลนั้นให้ดำเนินการให้แล้วเสร็จภายในหนึ่งเดือนนับแต่วันที่ที่ประชุมใหญ่หรือกรรมการลงมติ แล้วแต่กรณี[76]

English translation
No dividend may be declared except by a resolution passed in a general meeting. The directors may from time to time pay to the shareholders such interim dividends as appeared to the directors to be justified by the profits of the company. No dividend shall be paid otherwise than out of profits. If the company has incurred losses, no dividend may be paid unless such losses have been made good.
