หุ้นส่วนผู้จัดการเดิมต้องส่งมอบกิจการ ทรัพย์สิน บัญชีเอกสารและหลักฐานต่าง ๆ ของห้างหุ้นส่วนให้แก่คณะกรรมการบริษัท ภายในสิบสี่วันนับแต่วันที่ผู้เป็นหุ้นส่วนได้ให้ความยินยอมและดำเนินการในเรื่องต่าง ๆ ตามมาตรา ๑๒๔๖/๒ เสร็จสิ้นแล้ว ในกรณีที่ผู้เป็นหุ้นส่วนยังไม่ได้ชำระเงินค่าหุ้นหรือชำระเงินค่าหุ้นไม่ครบร้อยละยี่สิบห้าของมูลค่าหุ้น หรือยังไม่ได้โอนกรรมสิทธิ์ทรัพย์สิน หรือทำเอกสารหลักฐานการใช้สิทธิต่าง ๆ ให้แก่คณะกรรมการ ให้คณะกรรมการบริษัทมีหนังสือแจ้งให้ผู้เป็นหุ้นส่วนชำระเงินค่าหุ้น โอนกรรมสิทธิ์หรือทำเอกสารหลักฐานการใช้สิทธิต่าง ๆ แล้วแต่กรณี ให้แก่คณะกรรมการภายในสามสิบวันนับแต่วันที่ได้รับหนังสือแจ้ง

English translation
The former managing partner must hand over the business, the property, the accounts, the documents and the other records of the partnership to the board of directors of the company within fourteen days from the day on which the partners have completed the matters under Section 1246/2.
Where a partner has not paid for his shares, or has paid less than twenty-five per cent of their value, or has not transferred ownership of property or executed the documents evidencing the exercise of rights to the board of directors, that must be completed as well.
