เมื่อกล่าวถึงประชุมใหญ่ในหมวดนี้ ท่านหมายความดังต่อไปนี้ คือ(๑) ถ้าเกี่ยวกับห้างหุ้นส่วนจดทะเบียนและห้างหุ้นส่วนจำกัด ก็คือการประชุมหุ้นส่วนทั้งปวงซึ่งอาศัยคะแนนเสียงข้างมากเป็นใหญ่ในการวินิจฉัย(๒) ถ้าเกี่ยวกับบริษัทจำกัด ก็คือการประชุมใหญ่ตามที่ได้บัญญัติไว้ในมาตรา ๑๑๗๑
