ผู้ชำระบัญชีซึ่งมิใช่เป็นขึ้นเพราะศาลตั้งนั้น ท่านว่าจะถอนเสียจากตำแหน่งและตั้งผู้อื่นแทนที่ก็ได้ ในเมื่อผู้เป็นหุ้นส่วนทั้งหลายออกเสียงเป็นน้ำหนึ่งใจเดียวกัน หรือที่ประชุมใหญ่ของผู้ถือหุ้นได้ลงมติดังนั้น แต่ศาลย่อมสั่งถอนผู้ชำระบัญชีจากตำแหน่งและตั้งผู้อื่นแทนที่ได้ ไม่เลือกว่าจะเป็นผู้ชำระบัญชีซึ่งศาลตั้งหรือมิใช่ศาลตั้ง ในเมื่อมีคำร้องขอของผู้เป็นหุ้นส่วนในห้างคนใดคนหนึ่งหรือของผู้ถือหุ้นในบริษัทมีหุ้นรวมกันนับได้ถึงหนึ่งในยี่สิบแห่งทุนของบริษัท โดยจำนวนที่ส่งใช้เงินเข้าทุนแล้วนั้น

English translation

A liquidator who was not appointed by the court may be removed from office and another appointed in that person's place, where the partners vote unanimously to that effect or the general meeting of shareholders so resolves. The court may remove a liquidator from office and appoint another in that person's place, whether or not the liquidator was appointed by the court, on the application of any one of the partners of the partnership, or of shareholders of the company holding together shares amounting to one twentieth of the paid-up capital of the company.
