การที่เข้าชื่อซื้อหุ้นนั้นย่อมผูกพันผู้เข้าชื่อโดยเงื่อนไขว่า ถ้าบริษัทตั้งขึ้นแล้วจะใช้จำนวนเงินค่าหุ้นนั้น ๆ ให้แก่บริษัทตามหนังสือชี้ชวนและข้อบังคับของบริษัท
