Section 1144 is the foundational duty-of-care provision for Thai company directors. Directors who breach face joint and several liability for damages (§1168), and in cases of fraud or willful misconduct, criminal liability under the Company Limited Act. The duty includes: avoiding self-dealing without disclosure and shareholder approval (§1167 - non-competition); accurate financial reporting; meeting attendance and informed voting. SC decision 2359/2567 confirms directors cannot run competing businesses without shareholder authorization.
