Section 1144 is the foundational duty-of-care provision for Thai company directors. Directors who breach face joint and several liability for damages (§1168) — and in cases of fraud or willful misconduct, criminal liability under the Company Limited Act. The duty includes: avoiding self-dealing without disclosure and shareholder approval (§1167 - non-competition); accurate financial reporting; meeting attendance and informed voting. SC decision 2359/2567 confirms directors cannot run competing businesses without shareholder authorization.
