Section 1167 codifies the corporate-opportunity doctrine in Thai company law. The remedy for breach is profit disgorgement (§1168) — the company can claim the gains the director obtained from the competing business, plus damages for any loss. The rule applies even if the director's business technically targets a different geographic market or customer segment, as long as the business activity overlaps. To avoid breach: full written disclosure plus shareholder resolution before launching any related business.
