Section 1167 codifies the corporate-opportunity doctrine in Thai company law. The remedy for breach is profit disgorgement (§1168), the company can claim the gains the director obtained from the competing business, plus damages for any loss. The rule applies even if the director's business technically targets a different geographic market or customer segment, as long as the business activity overlaps. To avoid breach: full written disclosure plus shareholder resolution before launching any related business.
