เมื่อห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดได้จดทะเบียนแปรสภาพเป็นบริษัทจำกัดแล้ว บริษัทย่อมได้ไปทั้งทรัพย์สิน หนี้ สิทธิ และความรับผิดของห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดเดิมทั้งหมด

English translation
Once a registered ordinary partnership or a limited partnership has been registered as converted into a limited company, the company acquires the whole of the property, debts, rights and liabilities of the former partnership.
