เมื่อจดทะเบียนแปรสภาพเป็นบริษัทจำกัดแล้ว หากบริษัทไม่สามารถชำระหนี้ที่รับมาจากห้างหุ้นส่วนที่แปรสภาพได้ ให้เจ้าหนี้บังคับชำระหนี้เอาจากผู้เป็นหุ้นส่วนในห้างหุ้นส่วนที่แปรสภาพได้ตามที่ผู้เป็นหุ้นส่วนจะต้องรับผิดในหนี้ของห้างหุ้นส่วน

English translation
Where, after registration of the conversion into a limited company, the company is unable to pay a debt taken over from the converted partnership, the creditor may enforce payment against the partners of the converted partnership to the extent of their liability for the debts of that partnership.
