เมื่อห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดได้จดทะเบียนแปรสภาพเป็นบริษัทจำกัดแล้ว บริษัทย่อมได้ไปทั้งทรัพย์สิน หนี้ สิทธิ และความรับผิดของห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดเดิมทั้งหมด
