เมื่อนายทะเบียนได้รับจดทะเบียนการแปรสภาพห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดเป็นบริษัทจำกัดแล้ว ให้ห้างหุ้นส่วนจดทะเบียน หรือห้างหุ้นส่วนจำกัดเดิมหมดสภาพการเป็นห้างหุ้นส่วนจดทะเบียนหรือห้างหุ้นส่วนจำกัดตามประมวลกฎหมายแพ่งและพาณิชย์และให้นายทะเบียนหมายเหตุไว้ในทะเบียน

English translation
Once the registrar has registered the conversion of a registered ordinary partnership or a limited partnership into a limited company, the former partnership ceases to be a registered ordinary partnership or a limited partnership under this Code, and the registrar shall note that fact in the register.
