อันทรัพย์สินของห้างหุ้นส่วนหรือของบริษัทนั้น จะแบ่งคืนให้แก่ผู้เป็นหุ้นส่วนหรือผู้ถือหุ้นได้แต่เพียงเท่าที่ไม่ต้องเอาไว้ใช้ในการชำระหนี้ของห้างหุ้นส่วนหรือบริษัทเท่านั้น
