ถ้ามีความเสียหายเกิดขึ้นอย่างใด ๆ เพราะความประมาทเลินเล่อของตัวแทนก็ดี เพราะไม่ทำการเป็นตัวแทนก็ดี หรือเพราะทำการโดยปราศจากอำนาจหรือนอกเหนืออำนาจก็ดี ท่านว่าตัวแทนจะต้องรับผิด
