Section 2: Section 2 — Effective Date / มาตรา 2 — วันใช้บังคับ This Act came into force on 4 March B.E. 2543 (2000). Section 3: Section 3 — Repeal / มาตรา 3 — การยกเลิก Repeals the Alien Business Law B.E. 2515 and related announcements. Chapter 2: Foreign Business Operations / หมวด 2 การประกอบธุรกิจของคนต่างด้าว Section L1: List One — Businesses Not Permitted for Foreigners / บัญชีหนึ่ง — ธุรกิจที่ไม่อนุญาตให้คนต่างด้าวประกอบกิจการ Businesses absolutely prohibited to foreigners for special reasons related to Thai sovereignty and cultural identity. Section L2: List Two — Businesses Related to National Safety / บัญชีสอง — ธุรกิจที่เกี่ยวกับความปลอดภัยของประเทศ Businesses related to national safety, security, arts, culture, natural resources, and environment requiring Cabinet approval. Section L3: List Three — Businesses in Which Thais Are Not Yet Ready to Compete / บัญชีสาม — ธุรกิจที่คนไทยยังไม่พร้อมแข่งขัน Businesses in which Thai nationals are not yet ready to compete with foreigners, requiring Director-General approval. Section 4: Section 4 — Definitions / มาตรา 4 — คำนิยาม Defines key terms including "foreigner," "Thai national," and "business." Section 5: Section 5 — List One Restrictions / มาตรา 5 — ข้อจำกัดบัญชีหนึ่ง Foreigners are prohibited from operating businesses in List One (Annex A) for special reasons. Section 6: Section 6 — List Two Restrictions / มาตรา 6 — ข้อจำกัดบัญชีสอง Foreigners may operate List Two businesses only with Cabinet approval upon recommendation of the Committee. Section 10: Section 10 — Ministerial Regulations / มาตรา 10 — กฎกระทรวง The Minister may issue ministerial regulations for implementation. Section 11: Section 11 — Minimum Capital / มาตรา 11 — ทุนขั้นต่ำ Minimum capital not less than 3 million Baht. Section 12: Section 12 — Business Commencement / มาตรา 12 — การเริ่มประกอบธุรกิจ Business must commence within one year of license issuance. Section 13: Section 13 — Office Requirement / มาตรา 13 — สำนักงาน Foreign businesses must have an office and responsible person in Thailand. Chapter 3: Foreign Business Committee / หมวด 3 คณะกรรมการการประกอบธุรกิจของคนต่างด้าว Section 14: Section 14 — Committee Composition / มาตรา 14 — องค์ประกอบคณะกรรมการ Establishes the Foreign Business Committee chaired by the Permanent Secretary of Commerce. Section 15: Section 15 — Committee Duties / มาตรา 15 — หน้าที่คณะกรรมการ Duties and powers of the Foreign Business Committee. Chapter 4: Business Licenses / หมวด 4 การขอและการออกใบอนุญาต Section 16: Section 16 — Application Procedure / มาตรา 16 — ขั้นตอนการขออนุญาต Foreigners must apply to the Director-General for List Three businesses, or through the Committee to the Cabinet for List Two businesses. Section 17: Section 17 — Application Contents / มาตรา 17 — รายละเอียดคำขอ Application must include business plan, type of business, capital, workforce, and rationale for operating the business. Section 18: Section 18 — License Conditions / มาตรา 18 — เงื่อนไขใบอนุญาต Director-General or Minister may prescribe conditions including minimum capital, Thai-to-foreign workforce ratios, and technology transfer requirements. Section 19: Section 19 — License Issuance / มาตรา 19 — การออกใบอนุญาต Director-General issues license for List Three businesses; Minister issues for List Two businesses with Cabinet approval. Section 20: Section 20 — Compliance with Conditions / มาตรา 20 — การปฏิบัติตามเงื่อนไข Licensee must comply with all conditions; non-compliance may result in license revocation. Section 21: Section 21 — License Display / มาตรา 21 — การแสดงใบอนุญาต License must be displayed prominently at the place of business. Section 22: Section 22 — License Non-Transferability / มาตรา 22 — ใบอนุญาตโอนไม่ได้ License is non-transferable. Chapter 5: Foreign Business Certificates / หมวด 5 หนังสือรับรองการประกอบธุรกิจของคนต่างด้าว Section 23: Section 23 — Certificate for Treaty-Based Businesses / มาตรา 23 — หนังสือรับรองสำหรับธุรกิจตามสนธิสัญญา Foreigners operating businesses under treaties to which Thailand is a party shall obtain a Foreign Business Certificate. Section 24: Section 24 — Certificate for BOI-Promoted Businesses / มาตรา 24 — หนังสือรับรองสำหรับธุรกิจที่ได้รับส่งเสริม BOI Foreigners operating businesses promoted by the Board of Investment shall obtain a Foreign Business Certificate. Section 25: Section 25 — Certificate for IEAT Businesses / มาตรา 25 — หนังสือรับรองสำหรับธุรกิจ กนอ. Foreigners operating businesses within industrial estates under IEAT shall obtain a Foreign Business Certificate. Section 26: Section 26 — Certificate Application Procedure / มาตรา 26 — ขั้นตอนการขอหนังสือรับรอง Procedure for applying for a Foreign Business Certificate. Section 27: Section 27 — Certificate Conditions / มาตรา 27 — เงื่อนไขหนังสือรับรอง Conditions may be prescribed for Foreign Business Certificates. Section 28: Section 28 — Certificate Display / มาตรา 28 — การแสดงหนังสือรับรอง Certificate must be displayed at the place of business. Section 29: Section 29 — Certificate Validity / มาตรา 29 — อายุหนังสือรับรอง Certificate remains valid as long as the underlying authorization continues. Chapter 6: Supervision / หมวด 6 การกำกับดูแล Section 30: Section 30 — Power to Inspect / มาตรา 30 — อำนาจตรวจสอบ Registrar has power to inspect business operations for compliance. Section 31: Section 31 — Power to Summon Documents / มาตรา 31 — อำนาจเรียกเอกสาร Registrar has power to summon documents and persons for examination. Section 32: Section 32 — Power to Enter Premises / มาตรา 32 — อำนาจเข้าสถานที่ Registrar has power to enter business premises during business hours for inspection. Section 33: Section 33 — Reporting Requirements / มาตรา 33 — ข้อกำหนดการรายงาน Foreign businesses must submit periodic reports on their operations. Chapter 7: Penalties / หมวด 7 บทกำหนดโทษ Section 34: Section 34 — Penalty for Operating Without License / มาตรา 34 — โทษประกอบธุรกิจโดยไม่มีใบอนุญาต Operating without a license carries imprisonment up to 3 years and/or fine of 100,000 to 1,000,000 THB. Section 35: Section 35 — Penalty for False Statements / มาตรา 35 — โทษแจ้งข้อความอันเป็นเท็จ Making false statements in an application carries imprisonment up to 3 years and/or fine up to 100,000 THB. Section 36: Section 36 — Penalty for Nominees / มาตรา 36 — โทษนอมินี Thai persons acting as nominees for foreigners to circumvent the Act face imprisonment up to 3 years and/or fine of 100,000 to 1,000,000 THB. Section 37: Section 37 — Penalty for Foreigner Using Nominees / มาตรา 37 — โทษคนต่างด้าวที่ใช้นอมินี Foreigners who use nominees to circumvent the Act face the same penalties as Section 36. Section 38: Section 38 — Penalty for Violating License Conditions / มาตรา 38 — โทษฝ่าฝืนเงื่อนไขใบอนุญาต Violating license or certificate conditions carries a fine up to 500,000 THB. Section 39: Section 39 — Penalty for Obstruction / มาตรา 39 — โทษขัดขวางการตรวจสอบ Obstructing inspection or refusing to comply with summons carries imprisonment up to 1 year and/or fine up to 50,000 THB. Section 40: Section 40 — Penalty for Not Displaying License / มาตรา 40 — โทษไม่แสดงใบอนุญาต Failure to display license or certificate carries a fine up to 10,000 THB. Section 41: Section 41 — Juristic Person Liability / มาตรา 41 — ความรับผิดของนิติบุคคล Directors and responsible persons of a juristic person are jointly liable for offenses committed by the juristic person. Section 42: Section 42 — Daily Fine for Continuing Violations / มาตรา 42 — ค่าปรับรายวัน Continuing violations incur additional daily fines of 10,000 to 50,000 THB per day. Transitional Provisions / บทเฉพาะกาล Section 43: Section 43 — Continuation of Prior Business / มาตรา 43 — การประกอบธุรกิจต่อเนื่อง Businesses operating under the prior law may continue with conditions during the transition period. Section 44: Section 44 — New Application Requirement / มาตรา 44 — ข้อกำหนดการยื่นคำขอใหม่ Foreign businesses operating under the prior law must apply for a new license or certificate within the prescribed period. Section 45: Section 45 — Preservation of Existing Rights / มาตรา 45 — การรักษาสิทธิที่มีอยู่ Existing rights and authorizations under the prior law are preserved during the transition period. Section 46: Section 46 — Ministerial Oversight / มาตรา 46 — รัฐมนตรีผู้รักษาการ The Minister of Commerce oversees the implementation of this Act.
